TERMS AND CONDITIONS FOR FUNDING CAMPAIGN

By contributing to this funding campaign (the “Campaign”), you agree to be bound by the following terms and conditions (the “Terms”):


1. Purpose and Goal of the Campaign.

The purpose of the Campaign is to raise funds to purchase, distribute and service of 6Degrees Ltd. MyMove systems and an accompanying Oculus Quest device and two VR experiences (the “MyMove Systems”) to support patients who are in need of post amputation physiotherapy and physical exercising. The goal of the Campaign is to raise $ 150,000 USD to purchase 100 MyMove Systems (at a cost of $ 1,500 USD each) by July 31st, 2024. The Campaign is organized and managed by 6Degrees Ltd. (the “Company”).

2. Eligibility and Selection of Patients and Care Hospitals.

The Company will partner with selected hospitals that will identify and select the patients who will receive the MyMove Systems based on the following criteria: (1) Hospitals that will express, in writing, their desire to use and implement the MyMove Systems as a rehabilitation tool; (2) Hospitals that will appoint a project manager within the hospital to manage the MyMove Systems implementation project.

In addition, the Company will partner with the selected hospitals to identify and select, subject to MyMove Systems availability, patients who will receive MyMove Systems based on the following criteria: (1) Post amputation patient; (2) Willingness to use the MyMove Systems; (3) Signature of certain participation documents. The Company will verify the identity and medical condition of the patients by the information provided by the Hospital`s project manager. The Company reserves the right to reject any patient based on its sole discretion.

3. Use of Funds and Delivery of MyMove Systems.

The Company will use the funds raised in this Campaign to purchase and distribute the MyMove Systems to the selected hospitals patients, as identified above. The Company will provide the contributors with a receipt and a confirmation of the purchase and delivery of the MyMove Systems. The Company will make reasonable efforts to deliver the MyMove Systems to the hospitals or patients within 6 months after the end of the Campaign, subject to availability, transportation, and other factors beyond the Company’s control. The Company will not be liable for any delays, failures, or damages in the delivery of the MyMove Systems.

4. Contributions to the Campaign are Final.

All contributions to the Campaign are final and non-refundable. The Company will not issue any refunds to the contributors under any circumstances, but will solely use the funds to meet the Campaign Purpose and Goals as described above.

5. Communication and Reporting.

The Company will communicate with the contributors and report on the progress and outcome of the Campaign through email and through digital media publications. The Company will provide the contributors with regular updates on the status of the Campaign, the purchase and delivery of the MyMove Systems, and the impact of the Campaign on the selected patients. The contributors can contact the Company with any questions or concerns by email or through the Company’s web-site.

6. Privacy and Data Protection.

The Company will collect, store, and process the personal and financial information of the contributors and the patients in accordance with the applicable laws and regulations in Israel. The Company will use the information only for the purposes of the Campaign and will not share, sell, or disclose the information to any third party without the consent of the contributors or the patients, except as required by law or court order. The Company will take reasonable measures to protect the information from unauthorized access, use, or disclosure. The Company will delete or destroy the information when it is no longer needed for the purposes of the Campaign.

7. Disclaimer and Limitation of Liability.

The Company disclaims any and all warranties, express or implied, regarding the Campaign and the MyMove Systems, including but not limited to: the accuracy, completeness, reliability, or suitability of the information provided by the Company, the contributors, or the patients; the quality, safety, or effectiveness of the MyMove Systems; the availability, timeliness, or security of the purchase and delivery of the MyMove Systems; or the results or outcomes of the Campaign or the MyMove Systems. To the extent that such disclaimer of liability is held to be unlawful by a court of competent jurisdiction, the Company will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, whether in contract, tort, or any other legal theory, arising out of or relating to the Campaign or the MyMove Systems, even if the Company has been advised of the possibility of such damages; and the total liability of the Company to the contributors or the patients for any claims or damages arising out of or relating to the Campaign or the MyMove Systems shall not exceed the amount contributed by the contributor to the Campaign.

8. Governing Law and Jurisdiction.

These Terms shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms, the Campaign, or the MyMove Systems shall be submitted to and settled by the competent courts of Tel Aviv, Israel, and the parties hereby irrevocably submit to the exclusive jurisdiction of such courts.

9. Miscellaneous.

These Terms constitute the entire agreement and understanding between the parties with respect to the subject matter hereof, and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties. These Terms may not be amended, modified, or supplemented except by a written instrument signed by both parties. These Terms may not be assigned or transferred by either party without the prior written consent of the other party, except that the Company may assign or transfer these Terms to any of its affiliates or successors in interest, provided that the Company remains liable for the performance of its obligations under these Terms. These Terms shall be binding upon and inure to the benefit of the parties and their respective heirs, successors, and permitted assigns. These Terms may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. An electronic signature shall have the same legal effect as an original signature.
